Partnership Agreement

1. This Partnership Agreement governs the consulting and executive coaching services provided by Cooper Jackson, LLC, a limited liability company based in Fort Worth, Texas. By engaging our services, you agree to abide by this agreement.

2. Services Provided Cooper Jackson, LLC offers consulting and executive coaching services tailored to nonprofit organizations. Our services include leadership development, operational strategy consulting, and organizational efficiency guidance.

3. Client Responsibilities Clients agree to:

  • Provide accurate and complete information necessary for effective consulting.

  • Be actively engaged in the consulting process.

  • Honor scheduled meetings and provide a minimum of 24-hour notice for cancellations.

4. Payment and Fees

  • Fees for services will be outlined in a separate agreement or invoice.

  • Payments must be made within the agreed timeframe.

  • Late payments may incur a penalty of 5% per month on outstanding balances.

5. Confidentiality Both parties agree to maintain the confidentiality of all non-public information shared during the consulting engagement. Cooper Jackson, LLC will not disclose client-sensitive information without prior written consent, except as required by law.

6. Intellectual Property All materials, strategies, and methodologies provided by Cooper Jackson, LLC remain the intellectual property of Cooper Jackson, LLC and may not be reproduced or distributed without prior written permission.

7. Limitation of Liability Cooper Jackson, LLC provides consulting services in good faith based on industry best practices and experience. However, we do not guarantee specific outcomes. Cooper Jackson, LLC shall not be liable for any indirect, incidental, or consequential damages arising from our services.

8. Termination Either party may terminate the consulting engagement with a written notice of at least 7 days. Any fees incurred for services rendered before termination remain due.

9. Governing Law This Partnership Agreement shall be governed by and interpreted in accordance with the laws of the State of Texas.

10. Dispute Resolution In the event of any dispute arising from this Partnership Agreement, both parties agree to attempt mediation before pursuing legal action. Any legal proceedings shall take place in Tarrant County, Texas.

11. Additional Policies and Guidelines This Partnership Agreement should be read in conjunction with other policies, terms, and codes of conduct published by Cooper Jackson, LLC. Clients are expected to comply with all relevant company policies.

12. Amendments Cooper Jackson, LLC reserves the right to amend this Partnership Agreement at any time. Clients will be notified of significant changes in writing.
